Terms of Service

1. Agreement to Terms

By accessing or using the Provisum platform ("Service"), operated by Provisum Corp. ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Provisum is an enterprise software platform that assists organizations with security role mapping during ERP and system migrations. The Service includes AI-powered persona generation, role mapping, segregation of duties (SOD) analysis, and approval workflow management.

3. Account Registration and Security

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

Accounts are provisioned per organization. Each user receives role-based access (e.g., admin, mapper, approver, viewer) as configured by your organization's administrator.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable regulations
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload malicious code, excessive data volumes designed to disrupt the Service, or data you do not have the right to process
  • Resell, sublicense, or redistribute the Service without written consent

5. Customer Data

You retain all rights in the data you upload to the Service ("Customer Data"). We process Customer Data solely to provide the Service and as described in our Privacy Policy.

Customer Data may include user lists, role assignments, permission sets, and organizational structures. You are responsible for ensuring you have the necessary rights and consents to upload this data.

6. AI-Generated Outputs

The Service uses artificial intelligence to generate personas, role mapping suggestions, and SOD analysis. AI outputs are recommendations only and require human review and approval before taking effect.

We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs. You are responsible for reviewing and validating all AI suggestions before incorporating them into your migration project.

7. Subscription and Payment

Access to the Service requires a paid subscription. Fees are based on the plan selected (Starter, Professional, or Enterprise) and are billed in accordance with the pricing published at provisum.io/pricing or as agreed in an Order Form.

Annual subscriptions are billed upfront. Monthly subscriptions are billed at the start of each billing period. All fees are non-refundable except as required by law.

8. Service Level

We target 99.5% uptime for the Service, measured monthly, excluding planned maintenance windows communicated at least 48 hours in advance. Service level credits, where applicable, are defined in your Order Form or Enterprise agreement.

9. Data Security

We implement industry-standard security measures including encryption at rest (AES-256) and in transit (TLS 1.2+), role-based access control, row-level security, audit logging, and regular security assessments. For details, see our Security Policy.

10. Intellectual Property

The Service, including its software, algorithms, documentation, and branding, is the property of Provisum Corp. and is protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service during the subscription term.

11. Confidentiality

Each party agrees to protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information. Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party.

12. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for any claims arising from or relating to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.

13. Indemnification

You agree to indemnify and hold us harmless from any claims arising from: (a) your use of the Service in violation of these Terms, (b) your Customer Data, or (c) your violation of any third-party rights.

14. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. Upon termination, you may request export of your Customer Data within 30 days, after which we will delete it in accordance with our data retention policy.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless otherwise agreed in an Enterprise agreement.
